Green Monkeys Studio, LLC offers professional digital marketing and creative solutions. The scope of each project will be outlined in a separate agreement, contract, or invoice between us and the client.
3. Client Responsibilities
- Clients must provide accurate and complete information necessary for the execution of the Services.
- Clients are responsible for ensuring they have the necessary rights to any content (e.g., images, videos, trademarks) they provide to us.
- Any delays caused by the client, including failure to provide necessary materials, approvals, or payments, may result in timeline adjustments.
4. Payment Terms
- Payments for Services are due as outlined in the respective contract or invoice.
- A non-refundable deposit (percentage specified in the contract) is required before work begins.
- Remaining balances must be paid according to the agreed-upon schedule.
- Late payments may result in additional fees or suspension of Services.
- All payments are non-refundable unless stated otherwise in a written agreement.
5. Revisions & Project Scope
- Clients are entitled to a specified number of revisions, as outlined in their contract.
- Additional revisions beyond the agreed-upon limit may be subject to additional fees.
- Any changes to the project scope after work has begun may require a new contract or an amendment to the existing agreement.
6. Data Privacy & Security
- We respect the privacy of our clients and handle all personal and business data in accordance with applicable privacy laws.
- Client data will not be shared or sold to third parties, except as required for providing the Services (e.g., hosting providers, marketing platforms) or as required by law.
- Green Monkeys Studio, LLC implements industry-standard security measures, but we are not responsible for data breaches caused by third-party providers or hacking incidents beyond our control.
7. Intellectual Property
- Green Monkeys Studio, LLC retains ownership of all pre-existing intellectual property, tools, and methodologies used in delivering Services.
- Upon full payment, clients will have the rights to the final deliverables as specified in the contract.
- We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of our business relationship.
9. Third-Party Services & Integrations
- Some services may require integration with third-party tools (e.g., hosting, payment processors, SEO tools, social media platforms).
- We are not responsible for the performance, availability, or security of third-party services.
10. Warranties & Disclaimers
- We strive to deliver high-quality Services but do not guarantee specific results.
- Services are provided "as is" without warranties of any kind, either express or implied.
- We are not liable for third-party service failures, algorithm changes, or any unforeseen external factors affecting performance.
11. Limitation of Liability
To the fullest extent permitted by law, Green Monkeys Studio, LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our Services.
12. Indemnification
The client agrees to indemnify and hold harmless Green Monkeys Studio, LLC, its employees, agents, and affiliates from any claims, damages, or liabilities arising from:
- The client’s misuse of our Services.
- The client’s failure to obtain proper permissions for content or intellectual property used in their project.
- Any data breaches or security incidents occurring on client-controlled platforms.
13. Termination
- Either party may terminate Services by providing written notice as outlined in the contract.
- We reserve the right to terminate or suspend Services at any time if a client violates these Terms or any contract agreement.
14. Governing Law
These Terms shall be governed by the laws of the State of Washington. Any disputes shall be resolved in the courts of King County, WA.
15. Amendments
We reserve the right to update these Terms at any time. Continued use of our Services after changes constitute acceptance of the revised Terms.
